How does the Japanese Court assess a reasonable share price in management buy-out (MBO) situations? This talk will consider how Japanese courts currently carry out such assessments and how their approach might be improved. It will also introduce recent amendments to the Japanese Companies Act and their potential effect on minority shareholder rights in MBOs.
